BUYING OR SELLING A BUSINESS
We have experience in representing both business owners who are selling their businesses, as well as clients who are purchasing businesses. We have represented clients buying or selling businesses in a wide variety of industries including retail stores, salons, property management, and manufacturing.
Typically a client first comes to us for representation in negotiating and drafting a Letter of Intent, which is often used to dictate the preliminary terms of a business purchase during a period of review and due diligence. If the purchase moves forward, we then assist clients in negotiating and drafting the Purchase Agreement, which binds the parties to such terms as purchase price, payment terms, assets to be transferred, continuation of key employees, and non-disclosure/non-compete agreements.
We also have experience in the negotiation and drafting of seller financing documents and non-disclosure and non-compete agreements, which are often a part of the sale of a business. For example, a buyer often wants to be sure that the seller of a business will not open or work for a competing business.
